By entering the White Barn Farm LLC Giveaway (the “Giveaway”) each Entrant (described and defined in Section 2 below) agrees to be bound by these official rules and regulations (the “Official Rules”). The Giveaway begins and ends when specified in the original social media post (the “Giveaway Period”). The Giveaway is sponsored by the White Barn Farm LLC (the “Sponsor”). The Prize (described and defined in Section 5 below) will be provided by White Barn Farm LLC.

• Eligibility. The Giveaway is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia who are at least eighteen (18) years old at the time of entry, have an Internet connection and who have a valid Facebook or Instagram (if the giveaway is cross-posted to Instagram) account during the entry period (the “Entrants,” and each individually, an “Entrant”). The Giveaway is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited.

• How to Enter. Please follow the instructions on the social medial post(s), they may vary based on the specific giveaway.

• How to Win. The winner(s) will be randomly chosen by hand by White Barn Farm LLC or by using a computer-generated application tool on or about the end date listed in the original social media post describing the giveaway. Odds of winning depend on the total number of eligible entries received. Determination of the winner will be the responsibility of Sponsor, whose decision will be final and binding in all matters related to the Giveaway.

• Claiming the Prize. Each Winner will be notified by Sponsor via Facebook or Instagram Direct Message. To claim the Prize, each Winner must reply via Instagram or Facebook Direct Message within five (5) business days. If a winner cannot be notified within five (5) business days, does not meet eligibility, or does not comply with Giveaway rules, the prize will be forfeited and awarded to an alternate winner. In the event the prize winner is unable to redeem the prize due to reasons beyond their control no compensation or substitutions will be provided. All decisions by Sponsor in regards to the Giveaway are final and binding in all respects. Sponsor reserves the right in its sole discretion to substitute the prize with a prize of equal or greater value.

• Publicity. Except where prohibited by law, participation in the Giveaway constitutes consent to use of Winner’s name, likeness and address (city, state) for the Giveaway’s purposes in any media, worldwide, without further payment, consideration, or right of approval, unless prohibited by law.

• General Terms and Conditions. The Giveaway may be canceled, suspended and/or modified, in whole or in part, if in our opinion any fraud, technical failure or other factor beyond our control impairs the integrity or proper functioning of the Giveaway. Sponsors are not responsible for computer malfunctions, network connections, email delivery problems, systems failure or incompatibility, typographical, technical or key-stroke errors, or interruptions in your internet service. The Prize cannot be exchanged for cash or any other form of compensation. The Prize is non-transferable. No substitution or transfer of the Prize will be permitted. Sponsor reserves the right to disqualify an Entry and an Entrant from this Giveaway and future giveaways, sweepstakes, contests, or other promotions, if the Sponsor deems the social media post or entry is (i) vulgar, (ii) harms the Sponsor’s reputation or image, (iii) morally objectionable, (iv) inappropriate, (v) unfit for publication, (vi) violates a Meta, Facebook, or Instagram policy, (vii) illegal, (viii) otherwise in bad taste, (ix) mechanically reproduced or counterfeited, or (x) by any means subverts the entry process. If any term or provision of these Official Rules is invalid, illegal, or unenforceable in any jurisdiction, such invalidity illegality, or unenforceability shall not affect any other term or provision of these Official Rules or invalidate or render unenforceable such term or provision in any other jurisdiction. If any term of these Official Rules is held to be excessively broad or invalid, illegal, or unenforceable in any jurisdiction, it shall be reformed and construed by limiting and reducing it so as to be enforceable to the maximum extent permitted by applicable law in conformance with its original intent. All Federal, State and local taxes and other expenses, costs, or fees associated with the acceptance or use of the Prize are the sole responsibility of each Winner. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

• General Release. By entering the Giveaway, Entrants release White Barn Farm LLC, Meta Platforms, Inc. (“Meta”), Facebook (“Facebook”), and Instagram LLC (“Instagram”), and each of their respective parents, subsidiaries, affiliates, directors, officers, employees, representatives, partners and agents (the “Released Parties”), from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Giveaway or with the acceptance, possession or use of any prize (including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light).  By entering the Giveaway, Entrants acknowledge that the Giveaway is in no way sponsored, endorsed, administered by or associated with Meta, Facebook, or Instagram, and are subject to all applicable Instagram, Facebook, and Meta policies.

• Indemnity. Each Entrant and Winner shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, damages, actions, liability, loss, injury or expense, including reasonable attorneys' fees and costs, arising out of or in connection with: (a) participation in the Giveaway; (b) the use of any materials by the Released Parties, including, without limitation, any claim for infringement of intellectual property or any claim that such use invaded privacy or publicity; (c) a breach or allegation, which if true would constitute a breach of any of the representations, warranties or obligations herein; and (d) acceptance, possession, grant, use, or misuse of any Prize, including without limitation, personal injury, death and property damage arising therefrom.

• Disputes. Each Entrant agrees and acknowledges that the Sponsor’s decision of the Winners is final and at the Sponsor’s sole discretion. In the event of a dispute as to any Entry, the authorized account holder for the Instagram or Facebook account used to conduct the entry will be deemed to be the Entrant.

• Limitations of Liability, Jurisdiction and Venue. As a condition of participating in the Giveaway, each Entrant and Winner agrees that: a) any and all disputes, claims and causes of action arising out of or connected with the Giveaway shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of Grafton County, New Hampshire or the appropriate New Hampshire State Court located in Grafton County, New Hampshire; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys' fees; and (c) under no circumstances will an Entrant or Winner be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrants, Winners and Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of New Hampshire, without giving effect to any choice of law or conflict of law rules (whether of the State of New Hampshire or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New Hampshire. If for any reason an Entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, the Entrant's sole remedy is another Entry in the same or a comparable giveaway. Sponsor's failure to enforce any provision on these Official Rules shall not constitute a waiver of that provision.

• Third Party Links. The Sponsor site may contain hyperlinks and pointers to the Internet sites of Third Parties. Sponsor shall not be liable or responsible for the content of the Third Party sites or for any damages any individual or entity may incur as a result of their use of Third Party sites or their reliance on the content of Third Party sites.

The Giveaway is in no way sponsored, endorsed or administered by, or associated with, Instagram, Facebook, Meta or TikTok. Any questions or comments regarding this Giveaway / Sweepstakes should be directed to Sponsor and not to any social media sites.
